Welcome to Grant Write Pro. These Terms of Service ("Terms") govern your access to and use of Grant Write Pro (the "Service"), a web-based AI-powered grant writing assistant operated by Nueva Tech LLC ("we," "us," "our," or "Company"). By accessing or using the Service, you agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. Acceptance of Terms

By creating an account, accessing, or using Grant Write Pro, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Nueva Tech LLC.

2. Description of Service

Grant Write Pro is an AI-powered tool designed to assist users in:

• Drafting grant proposal content
• Identifying potential funding opportunities
• Structuring grant applications
• Providing general guidance on grant writing best practices

3. License to Use the Service

3.1 Grant of License

Subject to your compliance with these Terms, Nueva Tech LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your personal or internal organizational purposes.

3.2 Restrictions

You agree NOT to:

• Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Service
• Use the Service to develop a competing product or service
• Use automated systems (bots, scrapers, etc.) to access the Service beyond normal human usage
• Resell, lease, sublicense, or redistribute access to the Service
• Use the Service for any illegal, fraudulent, or harmful purpose
• Attempt to gain unauthorized access to any systems or networks connected to the Service
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Interfere with or disrupt the Service or servers/networks connected to the Service

4. User Responsibilities and Acknowledgments

4.1 AI-Generated Content Disclaimer

You acknowledge and agree that:

• Human Review Required: All AI-generated content is a DRAFT. You are solely responsible for reviewing, editing, verifying, and approving all content before use or submission.
• Accuracy Not Guaranteed: The Service may produce inaccurate, incomplete, outdated, or misleading information. You must independently verify ALL facts, statistics, citations, and data.
• Originality: While the AI strives to produce unique content, you are responsible for ensuring your final proposal is original and free from plagiarism. We recommend using plagiarism detection tools.
• Professional Judgment: The Service does not replace professional grant writing expertise, legal advice, or professional consultation.
• Grantor Compliance: You are solely responsible for ensuring your proposal meets all requirements, guidelines, formatting, deadlines, and criteria specified by the grant-making organization.

4.2 User Content

You are responsible for:

• All information and data you input into the Service
• Ensuring you have the right to use and share any content you provide
• The accuracy and legality of all content you submit
• Maintaining the confidentiality of any sensitive information

4.3 Prohibited Content

You may NOT input content that:

• Is illegal, fraudulent, or violates any law
• Infringes intellectual property rights of others
• Contains classified or highly confidential information (unless authorized)
• Contains malicious code, viruses, or harmful components
• Harasses, threatens, or harms others
• Is intentionally false or misleading

5. Intellectual Property Rights

5.1 Our Property

Nueva Tech LLC retains all right, title, and interest in and to:

• The Grant Write Pro Service, including all software, code, and algorithms
• The AI models and underlying technology
• All trademarks, logos, and branding
• User interface designs and functionality
• Documentation and instructional materials

5.2 Your Content

You retain all ownership rights to:

• The information and data you provide to the Service ("Input Content")
• Your final edited and approved grant proposals ("Final Work")

5.3 License to Us

By using the Service, you grant Nueva Tech LLC a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, and process your Input Content solely for the purposes of:

• Providing the Service to you
• Improving and developing the Service
• Technical support and troubleshooting

We will NOT: Sell your content to third parties, share your proposals with other users, or use your content for public AI training without explicit consent.

6. Disclaimers and Warranties

This section limits our liability. Please read carefully.

6.1 "AS IS" Service

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability
• Availability or uptime

6.2 No Guarantee of Results

Nueva Tech LLC makes no warranty that:

• The Service will meet your specific requirements or expectations
• AI-generated content will be accurate, complete, current, or reliable
• The Service will be uninterrupted, secure, or error-free
• Use of the Service will result in successful grant applications
• Use of the Service will result in funding awards
• Any errors or defects will be corrected

6.3 Third-Party Content

The Service may include links to third-party websites or reference third-party information. We do not endorse, warrant, or assume responsibility for any third-party content, products, or services.

7. Limitation of Liability

To the fullest extent permitted by applicable law:

7.1 No Consequential Damages

IN NO EVENT SHALL NUEVA TECH LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Loss of use or functionality
• Loss of goodwill or reputation
• Cost of substitute services
• Rejection of grant applications
• Loss of potential funding opportunities
• Professional damages or career impacts

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

7.2 Cap on Liability

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• The total amount you paid to us in the three (3) months immediately preceding the event giving rise to liability, OR
• $100 USD

8. Indemnification

You agree to indemnify, defend, and hold harmless Nueva Tech LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Input Content or Final Work
• Grant applications you submit using content from the Service

9. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

9.1 Data Storage

• Conversation data is stored temporarily in memory during your session
• We do not maintain long-term persistent storage of your conversations
• Session data is cleared when you close the browser or end your session

10. Account Terms

10.1 Account Creation (If Applicable)

If we offer account registration in the future:

• You must provide accurate and complete information
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activities under your account
• You must notify us immediately of any unauthorized access

10.2 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

11. Termination

11.1 Termination by You

You may stop using the Service at any time.

11.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, without notice, for:

• Violation of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Technical or security reasons
• Discontinuation of the Service

11.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• Any temporary data may be deleted
• Sections of these Terms that by their nature should survive termination will survive (including disclaimers, limitations of liability, and indemnification)

12. Modifications to the Service and Terms

12.1 Service Changes

We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Service at any time
• Impose limits on features or restrict access to parts of the Service
• Change pricing or introduce fees (with reasonable notice)

12.2 Terms Changes

We may update these Terms from time to time. When we make material changes:

• We will update the "Last Updated" date at the top of this page
• We may provide additional notice (e.g., notification on the Service)
• Your continued use of the Service after changes constitutes acceptance of the new Terms

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions.

13.2 Jurisdiction

You agree to submit to the personal jurisdiction of the state and federal courts located in Utah for any disputes arising from these Terms or your use of the Service.

13.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at legal@nuevatech.io to attempt to resolve the dispute informally.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nueva Tech LLC regarding the Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, pandemic, or government actions.
